Non-Disclosure Agreement (NDA) Framework

This Non-Disclosure Agreement Framework outlines the standard terms and conditions under which BRES Renewable, a division of Double Deuce Green Energy SRL, shares confidential information regarding its renewable energy projects with potential investors, partners, and contractors through our Data Room and direct communications.
1. Definition of Confidential Information
"Confidential Information" shall mean any and all technical and non-technical information provided by BRES Renewable, including but not limited to: (a) patent and patent applications; (b) trade secrets; (c) proprietary and confidential information, ideas, techniques, sketches, drawings, works of authorship, models, inventions, know-how, processes, apparatuses, equipment, algorithms, software programs, software source documents, and formulae related to the current, future, and proposed products and services of BRES Renewable, such as information concerning research, experimental work, development, design details and specifications, engineering, financial information, procurement requirements, purchasing, manufacturing, customer lists, investors, employees, business and contractual relationships, business forecasts, sales and merchandising, and marketing plans.
2. Obligations of Receiving Party
The Receiving Party agrees that it will at all times hold in strict confidence and not disclose to any third party Confidential Information of BRES Renewable, except as approved in writing by BRES Renewable, and will use the Confidential Information for no purpose other than evaluating or pursuing a business relationship with BRES Renewable. The Receiving Party shall only permit access to Confidential Information of BRES Renewable to those of its employees or authorized representatives having a need to know and who have signed confidentiality agreements or are otherwise bound by confidentiality obligations at least as restrictive as those contained herein.
3. Exclusions from Confidential Information
The Receiving Party's obligations under this Agreement do not apply to information that: (a) is or becomes publicly known through no act or omission of the Receiving Party; (b) was in the Receiving Party's lawful possession prior to the disclosure and had not been obtained by the Receiving Party either directly or indirectly from the Disclosing Party; (c) is lawfully disclosed to the Receiving Party by a third party without restriction on disclosure; or (d) is independently developed by the Receiving Party.
4. Term
The nondisclosure provisions of this Framework shall survive the termination of any relationship between the parties and the Receiving Party's duty to hold Confidential Information in confidence shall remain in effect until the Confidential Information no longer qualifies as a trade secret or until BRES Renewable sends the Receiving Party written notice releasing the Receiving Party from this Agreement.
5. Data Room Access
By accessing the BRES Renewable Data Room, you explicitly agree to be bound by the terms of this NDA Framework. Any downloading, copying, or dissemination of documents from the Data Room without prior written consent is strictly prohibited.
