Offers are open to members holding data-room access to the project, which is our record that the NDA is signed and the file has been read. Closed rounds run in front of invited bidders only and are not listed here.
The mechanism
Four steps, the same every time, so a bidder knows exactly what is being asked of them and a seller knows exactly what they will get back.
Sign the NDA and BRES opens the project's data room: permits, grid, land, the financial model. Bidding is limited to people who have read it.
Each sale carries its own terms β what is being sold, what an offer must contain, what happens after the deadline. They are on the sale's page, not in an email.
A price, a structure, your conditions, and whatever proof the terms ask for. You may replace it as often as you like until the clock runs out. Nobody sees it β not another bidder, not BRES.
The field is opened after the clock stops, never before. BRES reviews the offers with the seller, comes back to every bidder, and the sale is papered in the usual way.
Why sealed
An open auction rewards whoever bids last and best reads the room. A sealed round rewards whoever values the asset most accurately β which is the bidder a seller actually wants.
Not the prices, not the number of bidders, not whether you are leading. The model refuses to open the offers before the deadline, rather than a page hiding them.
Bidding opens and closes on the timestamps published on the sale. No extensions granted quietly, no round left open because a job failed to run.
A seller may set a price below which they will not sell. It is not published, and BRES keeps the right to reject every offer β which the terms say plainly.
What you file is an expression of interest carrying a price. It signs nothing: the sale is papered separately, in the ordinary way, with lawyers on both sides.
For sellers
If your asset has a file worth reading, an auction finds its price faster than a year of bilateral talks β and it does it without telling the market you are selling, if that is what you need. Closed rounds are run in front of named bidders only.
